The Companies Amendments Act has been assented into law. Do you know how this impacts your company, disclosures, and your duties as a director? Among the new requirements, the law requires the preparation of a remuneration policy, implementation report and specific remuneration disclosures by all public and state-owned companies in respect of the previous financial year. The court is also empowered to validate the creation, allotment or issue of share capital. https://lnkd.in/drhmsXgj. #Directors #CorporateGovernance #BoardGovernance

“Super-pointer.” In the world of corporate law, there’s no higher accolade. Yesterday, Law.com International revealed that A&O Shearman is introducing a 3-level modified lockstep pay system, with a top ‘super’ rung reserved only for the best revenue-generating partners. A big move by a big firm. But it’s not a new concept. Years ago, rivals like Freshfields broke their traditional ‘lockstep’ pay models (by which partner pay increases by guaranteed increments year on year) to enable them to hire and pay outsized ‘above lockstep’ salaries to the industry’s elite moneymakers. It’s as ambitious as it is controversial. Why? A couple of reasons. Many argue it upends traditions sometimes cultivated over a hundred years or more. Collegiality sacrificed for individualism. Collaboration abandoned. Constant quibbles over deal credit. A culture of high earners under pressure to meet their revenue promises. And it’s rare to see partners eligible for ‘super-pointer’ status outside of the U.S. or the U.K., possibly underlining that elite status at a firm is linked more to high charge-out rates than to quality. Others say the model is essential for breaking into new sectors and drawing the biggest and best clients. What do you think? Are law firms’ new compensation strategies a true game changer or just a temporary fix? Top firms are overhauling their pay structures to lure lateral hires. Paul, Weiss and Cravath, Swaine & Moore are embracing nonequity partners, expanding bonus pools, and adopting “black box” models. These changes aim to reflect economic contributions and stay competitive. But there’s skepticism. Will financial incentives alone drive better performance? Some argue that focusing on firm culture and work-life balance is equally crucial. The legal industry is at a crossroads, balancing traditional values with modern demands. As firms navigate this landscape, the question remains: will these compensation changes be enough to attract and retain top talent? For a detailed analysis, read “Chasing Higher Performance: Top Firms Are Refreshing Comp Systems to Court Laterals” by Justin Henry on Law.com. https://lnkd.in/gT8kuEPX
