The advantage of time that any brand has in the market today, over it's competitors, when it releases a new innovative product has shrunk tremendously. A certain brand that has a head start today, in the market because of innovative technology, is not going to stay the market leader. It'll have a very tough time staying ahead of the pack. Because the others will catch up very soon and level out the advantage. In fact, often the second player in the market will possibly win, as the first one burns out while creating the category. I was out shopping today and saw amazing innovative product releases by incumbent brands as well as newer players in the same categories that will beat the market leader in tech & prices as well... Think about it. No wonder the timelines for VC exits are becoming shorter and we find companies posting ridiculous statements about being profitable before tax, or some other fancy metric, as if EBITDA wasn't fooling us enough, all to get to the IPO pot of gold...

Entering more categories prematurely, or even adding more SKUs increases complexity within the organization and route-to-market channels. One of the largest consequences with complexity is that variability with respect supply, velocity, forecasting, lead-times, decision-making etc....gets AMPLIFIED and WIDENS! Illustratively you can think of it as follows. If your level of "excellence" is at 95% for a core category or core SKU...then that performance does not necessarily replicate itself at the organizational level when you add categories and SKUs. If you serve, let's say four categories, then that variability could impact overall performance as follows: 95% X 95% X 95% X 95% = 81 % You can do your own illustrative math if the "excellence" is lower than 95% for each category or even for one or two of the categories. Sage advice from John Foraker! Although, those % changes look quite impressive. I guess that's also what happens if the organization can simultaneously execute "above 95%" across all the categories and SKUs!

In 2011 when we were writing the SEC S-1 registration statement for the Annie's Inc. IPO, we insisted that this language about our mission, values, and positive social intent was prominent in "the box" for everyone to see. There was significant banker push-back about it, like we might not be considered a serious business with this "soft" stuff in there. Mission & values (almost) never showed up like this in IPO filings. As I look at the #emergingbrands landscape today with respect to brands winning at scale, what they stand for, and the consumers they serve, it strikes me how massively this space has evolved in just 10+ years. Values lead everywhere, and that's great for everyone. My prediction: #cpg emerging brand IPO's of the future will bring, it full stop. Investors understand how important it is for brands to connect on this level with the consumers they serve.

2024 has been a challenging year for mergers and acquisitions in the Beauty industry globally. Despite some notable deals like Dr. Barbara Sturm (Puig) and Olive & June (Helen of Troy), major factors have impacted the dynamics of deal-making. A major misalignment in expected valuations, which remained in line with previous years while the economic context had worsened. Over-optimistic business plans not reflecting the consumption weakness. Strategic investors taking a step back on M&A to refocus on their internal performance issues (China's slowdown, pressure on purchasing power in major markets). Looking ahead, 2025 seems more promising. The economic context is improving as interest rates are going down (although quicker in the US than in Europe). Sellers who have waited throughout 2024 are gearing up to find new investors. While Private Equity companies are feeling an increasing pressure to revolve their portfolio and invest the money raised over the past months. So there’s hope for renewed momentum in the Beauty M&A space, and there will likely be strong competition on the best opportunities.
