Houston-based manager Hines has raised over €1 billion in equity commitments for its European core-plus fund, Hines European Property Partners (HEPP). Yesterday, I spoke with Jorge Zawerthal Duarte, HEPP's manager, for more insights on the fund. Despite the challenging environment in 2022 when the fund was launched, commitments have accelerated significantly over the last quarter as market conditions improved, Duarte told PERE. Duarte’s team did not acquire any assets until the end of 2022. Now, the HEPP portfolio includes 17 assets. “The deployment was relatively slow because of the timing of the launch; there was less liquidity in the market,” Duarte said. “Over the last six months, we’ve seen a lot more liquidity, a lot more willingness from vendors to accept today’s pricing. What is a Special Purpose Vehicle (SPV)? An SPV is a legal entity created to pool money from investors, typically to make a single investment in a specific company. Unlike traditional funds that diversify across multiple investments, an SPV focuses on one opportunity. Why use an SPV? - SPVs help General Partners (GPs) when their fund lacks enough capital for pro-rata allocations. - They also allow GPs to invest in companies outside the fund's usual strategy. - For new GPs, raising an SPV enables them to present a specific investment opportunity to LPs instead of a broad thesis. A syndicate and an SPV are similar in many ways, but the key difference is that an SPV requires the formation of a legal entity to make the investment, whereas a syndicate is simply a group of investors, with a lead investor managing the deal.
