What’s so significant about Cleary Gottlieb Steen & Hamilton LLP adding a non-equity tier to its partnership? It became the latest of the Wall Street big beasts to do so, following law firms like Cravath, Swaine & Moore LLP and Willkie Farr & Gallagher LLP and Paul, Weiss, Rifkind, Wharton & Garrison LLP, leaving just a handful of ‘all-equity’ partnerships in New York’s ‘white shoe’ elite. The trend reflects 2 key things about the top-end legal market: 1. as attention turns to revving up profitability, elite law firms are having to insulate their best revenue-generating equity partners in a fiercely competitive hiring market. So to keep profit distributions high, the equity tier is kept lean by a) de-equitising and/or b) adding a non-equity layer to the hierarchy 2. the non-equity (or salaried partner) tier is still popular; most juniors understand that gaining equity nowadays is rare—but this mechanism bestows a) the ‘partner’ title (even if they aren’t one in the truest sense of the word), b) a bit more cash and crucially c) some market recognition What do you make of this trend? The Fall of Single-Tier Partnership: Cleary Gottlieb Steen & Hamilton LLP's Game-Changing Move Last month, Cleary Gottlieb abandoned its single-tier partnership, joining the two-tier majority in Big Law. This leaves barely a dozen single-tier firms in the AmLaw 200 - a stark transformation of our legal landscape. Michael Gerstenzang, Cleary's managing partner, calls it a response to "innovation and adaptation." When asked about offering $20 million for a lateral partner, Gerstenzang admitted they'd consider it "for the right candidate." As I've long pondered, "How could we see a 'two-tier' professional workforce as normal, not bizarre?" This shift fundamentally alters the partnership ethos and career trajectories in law. Key questions for our industry: 1. Is this about economics and talent retention only? 2. How will this reshape partner aspirations? 3. Are we creating a more dynamic or stratified profession? 4.
