In his book about how lawyers should serve their clients, my friend Nate Bohlander writes in his Star Wars themed chapter "Do or Do Not. There is No Try," that "If a lawyer is doing their job properly, and if early resolution isn’t in the cards, they must leave no stone unturned to protect their client’s interests. Part of effective lawyering is possessing the mental dexterity to consider all angles, anticipate the opposition’s strategy, and dig up facts relevant to the matter." This concept resonates deeply with me and how I believe we should approach discovery when settlement is not yet on the table. Day 3: Essential Elements of a Contract Contracts aren’t legally binding unless they have certain core elements: offer, acceptance, consideration, legality, and capacity. These might sound basic, but each one plays a huge role in making a contract enforceable. 1️⃣ Offer and Acceptance: - Clear terms are everything! Spell out what’s being offered and what acceptance looks like (signed document? Verbal agreement?). 2️⃣ Consideration: - Both sides need to gain something (payment, services, property). If there’s no value exchanged, the contract might not hold up. 3️⃣ Legality and Capacity: - Make sure the agreement aligns with laws and that both parties have the legal authority to sign.
