One of the most important aspects of being a charity trustee is acting with collective responsibility. Allowing someone to dominate the governance of a charity may mean the charity trustees are failing to meet their legal duty to act in the interests of the charity. The heading of OSCR's most recent publication is "Dominant Behaviour in Charities"...and this is really nothing new, albeit OSCR are flagging their concerns in response to recent increased reporting trends in this regard. I think it is positive that there is increased use of OSCR's mechanisms for whistleblowing (which does not necessarily mean the underlying issues are any worse than they ever were), but for those impacted by poor governance, there are no easy wins. This is one of the more challenging parts of my job as a charities solicitor i.e. being brought in to deal with negative situations (and appreciating the difficulties for those involved), as opposed to helping charities with positive initiatives and projects...but it is a necessary and vital part of my work. Charities - the set and forget myth No doubt all persons responsible for charities (board, management etc) are aware that there is an ongoing obligation to review the governance and operations of the charity to ensure it remains eligible to be registered with the Australian Charities and Not-for-profits Commission. For those that need a refresher or are looking for a way to document this, the ACNC has a self evaluation form that can be completed and signed by the board. It's a good way to meet your obligations... but ultimately ensuring all responsible people are invested and across the activities of the charity is an even better outcome.
