On December 23, 2024, the U.S. Court of Appeals for the Fifth Circuit lifted the Texas District Court’s nationwide preliminary injunction that had temporarily suspended the enforcement of the Corporate Transparency Act (CTA). This means that reporting companies formed prior to January 1, 2024 that are not exempt from the reporting requirements under the CTA must file their Beneficial Owner Information reports by January 13, 2025. https://lnkd.in/eUQ8b6xx

If your company was required to file a beneficial ownership report, it’s important to closely monitor developments regarding the enforcement of the Corporate Transparency Act (CTA). The Department of Justice has filed emergency motions to stay a recent district court order that temporarily halted enforcement of the CTA. The government has requested a decision by December 27, 2024. If the stay is granted by either the district court or the Fifth Circuit Court of Appeals, the CTA and its January 1, 2025 reporting deadline could once again take effect.
The U.S. Department of Justice has filed emergency motions for a stay pending appeal of a recent district court order that preliminarily enjoined enforcement of the Corporate Transparency Act (CTA). If a stay is issued pending appeal, the CTA and its January 1, 2025 reporting deadline could become enforceable once again.
The United States District Court for the Eastern District of Texas has issued a preliminary injunction against enforcing the Corporate Transparency Act in response to a lawsuit that contended the CTA infringed upon constitutional principles by imposing federal oversight on state-registered companies and requiring disclosure of detailed personal information about their owners. The Court stayed the deadline to file a report under the Administrative Procedure Act (APA) § 705. CORPORATE TRANSPARENCE ACT (CTA) UPDATE On December 26, 2024, the full Fifth Circuit Court pf Appeals reversed the December 23rd decision of the three-judge panel and reinstated the nationwide stay of enforcement of the CTA while the merits of the case are under review. Reporting companies are again relieved of their BOIR obligations, at least temporarily.
