Commercial team members work closely with our hands-on corporate directors, Victoria Anderson (Donnison) and Ben Morrison, advising clients on a range of corporate advisory, M&A, business ownership structuring, succession and restructuring matters. Where needed they also work alongside our busy commercial litigation experts on corporate aspects of disputes. Your experience with complex restructuring, management buy-outs, private M&A and capital raising would be highly valued in our team. Experience with trusts is also beneficial, as we work closely with our clients on their business ownership and succession matters. Morrison Partners is outward looking and collaborative in approach. We are passionate about providing great service to our clients as well as providing an environment for our team to thrive in. The importance of indemnity in contract: Indemnity is a contractual obligation where one party (the indemnifier) agrees to compensate another party (the indemnity holder) for losses or damages incurred due to specific events.Key Parties Involved: - Indemnifier: The party that promises to compensate for losses. - Indemnity Holder (Indemnity holder): The party that receives protection and compensation for losses. Why Indemnity Clauses are Important in Contracts? Indemnity clauses are one of the most heavily negotiated and important parts of commercial contracts for a few key reasons: 1. They allow parties to allocate risk or better risk management, by specifying which party is responsible for certain liabilities, indemnity clauses shift risk from one party to the other. 2. They protect the indemnified party from third-party claims. 3. They can cover costs the indemnified party would not normally be able to recover. Eg attorneys fees. 4. The indemnifying party can limit its liability through caps, liability baskets etc. 5. Indemnity can be claimed before the indemnified party actually pays anything, unlike damages which require an actual loss.
