Darktrace, one of London's most successful tech companies, has agreed to a $5.32bn cash deal with US private equity firm Thoma Bravo. The deal represents a 44% premium to Darktrace's three-month average share price and marks the 20th takeover of a London-listed company this year. This acquisition highlights the crisis facing the London Stock Exchange and its deep discount relative to the US market. Since January, deals worth more than £26bn have been agreed upon, with companies sold off at an average of 36% above their market value. This acquisition should be a wake-up call to the government, as the UK's leading tech company is being acquired by US private equity. #technews #LondonStockExchange #Darktrace

A Swedish gaming group that owns best sellers Lord of the Rings and Tomb Raider is split into three publicly listed entities to revive its fortunes. Embracer will become Asmodee Group, Coffee Stain & Friends, and Middle-earth Enterprises & Friends under the plan, which it said would allow the three distinct businesses to build on their strengths and develop differentiated and distinct equity stories. Lars Wingefors, co-founder and chief executive added the move reflects Embracer’s “vision of backing entrepreneurs and creators with a long-term mindset”. After going on a frenetic acquisition spree between 2019 and 2022 the Swedish group has been struggling recently, laying off hundreds of staff and selling off businesses such as Borderlands developer Gearbox for fractions of its value three years ago. ▶ Cinven mulls expansion into other mid-market verticals. The rumoured expansion of Cinven into adjacent investment strategies is not surprising, and, all other things being equal, is a sound way for management to maximise management company value, and minimising existential platform risk. Firms operating few (or even just one single) flagship strategies are exposed to both fundraising and exit liquidity risks. They often have reduced access to NAV lending options (smaller portfolios), and struggle to find roles to promote rising MD-level team members into. With GP stake firms prioritising management fee income in valuations (over carry), it makes sense for firm owners to focus on building adjacent strategies. Whether LPs in the main fund agree with the benefits or not is a different story.
