DPI 2024 – What FSPs and CIS managers need to know about ensuring FICA compliance. DFIM Circular regarding the formation of sub-committee of the Board of Directors of Finance Company and their functions. Major points: i. Audit Committee of Financial Institutions will oversee the operations and responsibilities of the Nomination and Remuneration Committee (NRC) as per the Corporate Governance Code 2018, for ensuring good governance. ii. BM and AGM on same day with consent for shorter notice: Can the Board and Annual General Meetings be convened and held on a same day with consent for shorter notice? The answer is yes, because no minimum notice period has been prescribed for convening AGM with a shorter notice. However, few Auditors are of the view that at-least one day gap is required between BM and AGM. Not sure about the enabling provision for this one-day gap requirement. Please share your views on this.
