Recent analysis from the Harvard Law School Forum on Corporate Governance highlights a familiar pattern in financial markets: bubbles tend to end in a bust. The rise and fall of Special Purpose Acquisition Companies (SPACs) serves as a recent example. Key takeaways: - SPACs raised over $210 billion from 2019-2022, peaking in 2021 - By mid-2024, 85% of SPACs that completed reverse mergers are trading below IPO price - 29% now trade below $1 per share, up from 12% a year ago - 79% were unprofitable in 2023 Despite the broader market rally, SPACs continue to struggle. While only 8% have filed for bankruptcy so far, many more are likely to follow. Speculative frenzies often lead to painful corrections that keep restructuring professionals busy. One of the interesting aspects of the SPAC bubble, as opposed to, for example, the dot-com boom/bubble, is that while the dot-com era produced technology and businesses that ultimately transformed the economy, the SPAC frenzy was simply about a process (for taking companies public) rather than inherent value. The process did nothing to paper over the underlying deficiencies of the companies going public Some of the structural issues with SPACs highlighted in the analysis include: - Sponsor incentives: The "heads I win, tails I don't lose much" dynamic encouraged deals even when quality targets were scarce. - Market saturation: Hundreds of SPACs competed for a limited pool of suitable companies. - Premature public listings: Many SPAC targets were more akin to late-stage startups than IPO-ready businesses. The continued unwinding of the SPAC saga may not generate major headlines, as most are middle-market companies. However, the restructuring industry will likely be busy cleaning up the aftermath in the coming years. This situation serves as an important reminder that financial innovation, while potentially valuable, can also lead to excess, and is no substitute for a solid business model.

You see, with shareholders, disputes can sometimes feel like they’re hitting a little too close to home. And don’t even get me started on figuring out the true value of those shares, there’s no one set valuation method. It’s often a combination of methods, and negotiations. But hey, here’s the good news: you’re not alone in this. The law’s handy to know about here. There are some solid tools out there to help you ensure everything’s above board and make sure your voice is heard loud and clear. So, where do you start?
