Corporate Governance in Malaysia: A Statute, Guideline or Code? ⚖ In Malaysia, the legal system consists of statutes, guidelines, and codes, each serving unique roles and carrying varying legal significance. It is important to differentiate between these instruments for compliance and governance purposes. What are the disparities between statutes, guidelines, and codes within the Malaysian context? 1. Statute 👩⚖️ A statute, also known as an Act or legislation, is a formal written law enacted by the legislative body, such as the Malaysian Parliament. Statutes are legally binding and enforceable in courts. They establish, modify, or revoke laws and regulate various aspects of life in Malaysia, including business operations, taxation, and criminal conduct. For example, the Companies Act 2016 governs the establishment, operations, and dissolution of companies in Malaysia. 2. Guideline 📚 Guidelines are non-binding documents issued by regulatory bodies or authorities that provide recommendations, best practices, or suggestions for complying with laws or regulations. While guidelines are not legally enforceable, they serve as valuable tools for interpreting and implementing laws. For instance, the Securities Commission Malaysia (SC) issues guidelines on corporate governance to assist companies in adhering to the law and enhancing their governance practices. 3. Code 🏢 Codes are sets of rules or principles that regulate specific areas or professions. In Malaysia, codes can be voluntary or mandatory. Voluntary codes are not legally binding but can be used as a defense in court if registered with the relevant authorities. Mandatory codes, on the other hand, are legally enforceable and must be followed by individuals or organizations within their scope. For example, the Malaysian Communications and Multimedia Commission (MCMC) issues codes of practice for the communications and multimedia industry, which, if registered, become enforceable. In conclusion, statutes are binding laws enacted by the legislative body, guidelines are non-binding recommendations issued by regulatory bodies, and codes can be either voluntary or mandatory, depending on their legal status. From my perspective, Corporate Governance in Malaysia is made up of all three as it is regulated by a blend of statutes, guidelines, and codes. #CorporateGovernance #BTW3320

CSRD Integrated into Danish Law 🏛️ We knew it was coming, and today marks the day when things got real, as we are soon halfway through 2024 and the first reporting year for CSRD ⏳ Today's integration of the CSRD into Danish legislation marks a significant shift in the reporting landscape across Denmark as key legal updates include the incorporation of the CSRD into the Auditors Act, Companies Act and Danish Financial Statements Act with the ESRS meeting the requirements of Danish Financial Statements Act §99a 📑 Now that CSRD are officially into Danish law, the eagerly anticipated updates to the implementation guidance from EFRAG can not come soon enough 🌱

Dear Friends, Colleagues and valued Clients, Last July, the Ministry of Planning and Investment issued a draft report on the implementation of the Enterprise Law 2020 (“Draft Report”), a document which drew the attention of me and my colleagues Tuan Pham (Alex), Hoang Pham D.. This Draft Report has somehow reminded us of an interesting fact that the Enterprise Law 2020 has come into effect more than 3 years. In 2020, the Enterprise Law 2020 was introduced to strengthen Vietnam's business and investment environment. Since its official validity on 1 January 2021, it has been credited for significant improvements in many aspects such as enterprise registration, corporate governance, and investor protection. However, the real-world application of the Enterprise Law 2020 has exposed several challenges, primarily due to unclear regulations leading to varied interpretations or outdated provisions. Given the situation, the Draft Report provides these issues with some insights. Some of key and interested issues identified include: 1. Inconsistencies in the application of the law, especially in defining roles and terms like “related person of the enterprise manager”. 2. Uncertainty over whether the members of the Members’ Council have the right to agree on profits distribution with a ratio that is different from their capital contribution ratios. 3. Ambiguities in rights and responsibilities of Members’ Council on matters not regulated by the Enterprise Law and the company charter. 4. Ambiguities in the interpretation and application of the “blank vote”. 5. Gaps in business registration procedures, particularly in preventing false capital contributions and shadow investments. 6. Ambiguities in some of corporate governance matters for limited liability companies and joint-stock companies. We believe that this Draft Report is a step towards amending the law to better align with Vietnam's evolving business landscape. Lots of lawyers talking this week about Singtel v Robertson as a reminder to in-house lawyers on privilege. If you're short on time, some extracts to review: - Read paragraph [13] (media release), [16] (board resolution), and 20 (engagement letter). - See [27] on the test of dominant purpose: "It is not sufficient to show a substantial purpose or that the privileged purpose is one of two or more purposes of equal weighting; rather it must be predominant and be the paramount or most influential purpose." Also check out PwC/JBS in the FCA on that where the Judge found many instances of two purposes of equal weight. - See [32] on the evidence threshold: "A court is not obliged to accept evidence of state of mind merely because it is asserted, and nor is it obliged to find evidence to be persuasive irrespective as to challenge by cross-examination, particularly where it is contradicted by facts otherwise established by contemporaneous material" - See [53] on what the dominant purpose was and who could prove it: "The primary judge was correct to find that the totality of the evidence did not indicate that Mr K's state of mind was determinative: PJ [129]-[133]. Based on Optus’ own media release, it was the CEO who recommended the Deloitte review to the Board, which supported her recommendation." - See [60] on documents created at the time: "The primary judge’s analysis took into account other contemporaneous documentary evidence and inferences that arose from the evidence as a whole." - See [83] for the conclusion: "It would remain the case that we consider the primary judge was correct to find that there were multiple purposes for which the Deloitte Report was commissioned and that the evidence did not establish that it was procured for the dominant purpose of Optus obtaining legal advice or for use in litigation or regulatory proceedings."
