Ensuring effective governance is at the core of a board chair’s responsibilities, but how do you determine the right leadership structure for your board?
I turned Cara Heiden, retired co-president of Wells Fargo Home Mortgage, for expertise on determining the right board leadership for my recent "Insights from the Boardroom" column for the NACD (National Association of Corporate Directors) Heartland Chapter. Heiden serves as nonexecutive board chair for Vermeer Corporation, audit committee chair for Casey's General Stores, Inc., and as the human resources and nominating and governance committee chair for GuideOne Insurance. Here are her observations:
A non-executive chair is the leader of the board of directors and the CEO is the leader of the company. In the case where the chair of the board and CEO are combined, a lead director is typically appointed as the leader of the nonmanagement directors.
Role of non-executive chair - The non-executive chair is responsible for chairing all the board meetings and executive sessions and to provide leadership as to how the board operates and makes decisions. A non-executive chair works closely with the CEO on board agendas and provides feedback to the CEO from executive sessions.
Role of lead director - The lead director chairs executive sessions of the nonmanagement directors and helps ensure the oversight effectiveness of the board and its committees.
The decision regarding board leadership structure needs to consider several factors, including:
- The company’s situation – maturity of the business, performance, challenges, strategic opportunities and priorities;
- Board’s culture, how it operates, state of governance practices;
- Characteristics of potential board leaders, their leadership style, experience, communication skills with shareholders.
It is critically important that boards of directors apply their collective business judgement, considering all the above factors, to determine the board leadership structure that gives their company the highest likelihood of success.
