Took longer than I expected, but a court has finally thought the CTA law into limbo. Not sure if this will kill the law, but good to know for companies who have not filed over the course of the year. On December 3, 2024, the U.S. District Court for the Eastern District of Texas took a significant step by issuing a nationwide preliminary injunction halting the enforcement of the Corporate Transparency Act (CTA) and its implementing regulations. For those unfamiliar, the CTA mandates that many U.S. and foreign companies doing business in the U.S. report their beneficial ownership details to the Financial Crimes Enforcement Network (FinCEN). Here’s the critical takeaway: the court made it clear that companies formed before January 1, 2024, are not required to meet the January 1, 2025, reporting deadline. While the ruling didn’t explicitly address deadlines for companies formed after January 1, 2024, or for updated reports, the injunction appears to put the entire framework of the CTA—and its deadlines—on pause. The Corporate Transparency Act: A Legal Saga Continues The Corporate Transparency Act has been a legal rollercoaster over the past month. In early December, a Texas federal court issued a nationwide injunction halting the law’s Beneficial Ownership Information reporting requirements, citing privacy concerns. By December 23, the Fifth Circuit stayed the injunction, briefly reinstating reporting obligations. FinCEN even extended the filing deadline to January 13, 2025, in response. But just three days later, the Fifth Circuit reversed itself, reinstating the injunction and leaving businesses once again free of BOI filing requirements—for now. The latest twist came on January 2, 2025, when the Department of Justice filed an emergency request with the Supreme Court to lift the injunction and reinstate reporting requirements. As we await the Court’s decision, the CTA remains on hold, with no current filing obligations. Businesses, however, should remain prepared, as this legal saga is far from over and could change course quickly. For now, there’s no need to file BOI reports, but it’s wise to keep your information organized and ready. BREAKING: Federal Court Enjoins Government from Enforcing Corporate Transparency Act (BOI Reporting): On December 3, 2024, the U.S. District Court for the Eastern District of Texas granted a nationwide preliminary injunction that enjoins the federal government from enforcing the Corporate Transparency Act (the CTA). The CTA, which went into effect January 1, 2024, requires “reporting companies” in the United States to disclose information about their beneficial owners — the individuals who ultimately own or control a company — to the Treasury Department’s Financial Crimes Enforcement Network (FinCEN). A group of six plaintiffs filed a lawsuit in May 2024 claiming that Congress exceeded its authority under the Constitution in passing the CTA. In a 79-page order issued by United States District Judge Amos L. Mazzant, the Court found that the plaintiffs were likely to succeed on the merits of their claims and, although the plaintiffs sought a preliminary injunction on behalf of only themselves and their members, the Court issued a nationwide injunction instead. The Court’s order states that neither the CTA nor the implementing rules adopted by FinCEN may be enforced and that reporting companies need not comply with the CTA’s upcoming January 1, 2025 deadline for filing beneficial ownership reports. The Court’s order is a preliminary injunction only and not a final decision. The Court’s order temporarily pauses enforcement of the CTA on a nationwide basis, but enforcement could resume if the Court’s order is overturned on appeal or the Government ultimately prevails on the merits. https://lnkd.in/gcf2AE8q

Breaking News: Corporate Transparency Act Enforcement Paused On December 3rd, a federal judge in Texas issued a preliminary injunction that temporarily blocks enforcement of the Corporate Transparency Act (CTA) across the U.S. While this is not a repeal, it is a pause in enforcement as the legal process unfolds.
