Partner and Head of Simkins’ reputation protection team Gideon Benaim sat on the judging panel for ‘Lawyer of the Year – Reputation’ at the Spear's Awards 2024. Having won the award himself last year, Gideon and the panel considered reported cases, innovations, quality of service and client feedback. For more than a decade, the Spear's Awards have celebrated leading figures from the private client world, including private client advisers, wealth managers and lawyers. #Japan would never do this: “a corporation can enter into agreements with current or prospective stockholders giving stockholders consent rights or specifying that the corporation, stockholders, or directors will take certain actions or refrain from taking certain actions.” It goes against the principle of the autonomous decision-making responsibility of directors. For the same reason, an agreement with a director that they will vote or act a certain way is unenforceable. The advantage (not in this case, but sometimes) of the US system is that different state courts can compete and sometimes improve law and rules. In #japan , the bad news is that there is only one law and one court system, so there is no competition and things change unbearably slowly, but the good news is that competition does not lead to absurd panicky results like this. The recent decisions in the BHS case, Wright v Chappell [2024] EWHC 1417 (Ch) and [2024] EWHC 2166 (Ch), have caused quite a stir in this regard.
