Delighted to comment in The Times on contract termination rights. Businesses often approach me for advice on exiting contracts with long durations. There is a particular emphasis at the moment on SMEs signing long term contracts with auto renewal clauses. Although the law protects consumers, generally courts will respect the terms of a contract entered into between two businesses. There is nothing under English law that prohibits long durations or auto renewals in normal business contacts. If a clause is particularly onerous or unusual, it must be brought to the attention of the party bound by it in order to be validly incorporated into the contract. This might help challenge long duration / auto renewal clauses but it wouldn't be easy. Best practice is to limit initial contract durations and/or have a right to terminate on notice, to give flexibility. Good contract management processes are essential to keep track of expiry/renewal dates. #contractlaw
