Investments In Indian Startups by Non-Residents

This post is dedicated to all Investors who invest in Indian Startups.

Recently I have been receiving many queries from Non-Residents (NRs) angels and micro-VCs who have created good wealth while investing in Silicon Valley startups and now they look at India as next BIG opportunity. They listen to early or growth stage Indian Founders pitches and wish to invest. Most common questions are related to taxation, transaction and process from entry to exit points.

Is PAN card required for a Non-Resident while investing in Indian startups?

Ideally, it is advised to have a PAN (Permanent Account Number) if you are investing in India for any asset class including startup investments.

What are the merits and demerits of having or not having a PAN Card for NRs?

  • Bank Account opening: If you are an NR Indian, opening of NRE / NRO account becomes easy.
  • Tax Calculations: Required by Income Tax department to track the tax obligations of NRs and pay them correctly to avoid any potential tax disputes or penalties.
  • Reporting to Government Authorities: Help Indian Startups to do correct reporting to Income Tax department when NRs do investments.
  • Repatriation: Smooth repatriation of funds whenever there is an exit opportunity, good or bad, doesn’t matter.
  • Unique Identity: It gives a unique identification to NR in India while they do investments in Indian Startups.
  • Ease of Doing Business: Support Indian Government initiative on Ease of Doing Business in India.

What are the demerits for non-residents not having a PAN card while investing in Indian startups?

  • Tax Impact: Pay taxes at higher tax rates.
  • No Tax Credits: Depending upon tax treaties between India and the non-resident's home country, NRs may not get or face difficulties in getting tax credit while filing tax returns in their respective countries.
  • Repatriation of Funds: NRs may face difficulties in repatriating their returns on investments back to their home country. The Indian government has strict regulations regarding the repatriation of funds.
  • Compliance issues: In case of compliances issues, transaction between buyer, seller and the startup company may get delays. Startup Companies will have challenges for compliance disclosures.

At What tax rates non-residents will be taxed in India for capital gains?

Non-residents who invest in Indian startups are subject to capital gains tax in India. The tax rates for capital gains depend on the type of asset and the duration of the investment.

  • Short-term capital gains tax: Non-residents who hold an investment in Indian startups for less than 24 months are subject to short-term capital gains tax at 15% of the gains if NR has a valid PAN Card. Otherwise taxed at 30% of the gains.
  • Long-term capital gains tax: Non-residents who hold an investment in Indian startups for more than 24 months are subject to long-term capital gains tax at 10% of the gains if NR has a valid PAN Card. Otherwise taxed at 20% of the gains.
