Informational Notice: Reporting of Beneficial Ownership Information

Beginning January 1, 2024, certain types of corporations, limited liability companies, and other similar entities created in or registered to do business in the United States must report information about their beneficial owners—the persons who ultimately own or control the company—to the Department of the Treasury's Financial Crimes Enforcement Network (FinCEN). A reporting company created or registered to do business before January 1, 2024, will have until January 1, 2025, to file its initial beneficial ownership information report.

Constituent concern: watch out for companies that contact you via the Florida Division of Corporations offering 100-500$ in clerking fees to assist your business with the aforementioned free file process. Notice coercive and manipulative wording that highlights a $10,000 penalty for failing to file by deadline in association with a non governmental third party.

“Changing the status of your LLC to a C Corporation at the IRS can offer several benefits, depending on your business goals and needs. Here are some potential advantages:

1. Limited Liability and Separate Entity: A C Corporation is considered a separate legal entity, offering limited liability protection to its owners (shareholders). This means that the owners’ personal assets are generally protected from business liabilities and debts.

2. Tax Considerations: While C Corporations are subject to double taxation (the corporation pays taxes on profits, and shareholders pay taxes on dividends), they also offer some potential tax advantages, such as the ability to deduct certain business expenses at the corporate level. Additionally, the current federal corporate tax rate is relatively low, which may be beneficial for businesses with significant profits.

3. Easier Access to Capital: C Corporations can issue various classes of stock, making it easier to attract investors and raise capital. This is particularly advantageous if you plan to seek venture capital funding or issue stock options to employees.

4. Perpetual Existence: Unlike an LLC, which may dissolve upon the departure or death of a member, a C Corporation has perpetual existence, meaning it can continue indefinitely, regardless of changes in ownership.

5. Fringe Benefits: C Corporations can offer a broader range of tax-deductible fringe benefits to employees, including health insurance, retirement plans, and life insurance, which can be attractive for retaining and attracting talent.“

We straddle numerous ecological zones from the Gulf coast, well up into the Atlantic Coastal Plain. Certified Naturalist invites Citizen Scientists from throughout this area to contribute, by making as many observations as possible in a variety of public wilderness spaces within this area.
