    GLA & Company advised Heidelberg Materials Suez Cement on a capital increase of up to EGP 6 billion, the largest of 2024 in the Egyptian market. The capital increase required multiple governmental approvals, including from the Financial Regulatory Authority (FRA), the General Authority for Investment and Free Zones (GAFI), the Egyptian Stock Exchange (EGX), and the Misr for Central Clearing, Depository and Registry (MCDR).     On December 4, 2024, the Ministry of Commerce and Industry (“MOCI”) held a conference to discuss a proposed draft law on digital commerce. The law aims to organize the rapidly growing commercial sector by establishing a regulatory framework to protect consumers, foster sector growth, and localize digital trade. As part of MOCI’s phased priorities, the draft of the “Digital Commerce Law – Phase One” includes provisions aimed at regulating the sector, protecting consumers, and opening new horizons for the growth of digital trade in Kuwait.     It is one of the most complicated capital increases that I have ever worked on with almost all of the legal and procedural aspects and requirements that anyone can face in a capital increase. All theses extraordinary procedural and legal challenges were part and the very tight timeframe during which such capital increase should be finalized was another challenge. Being an EGX delisted company in Egypt gives you the impression that you are more or less a normal company, however; it imposes on you a lot of uncommon legal and procedural requirements. Hopefully, with a team work spirit full of responsibility and dediction and faith in achieving such uprecedent capital increase, we successfully managed to acheive it even before such challenging deadline compared to the aforementioned circumstances. I would like to express my sincere gratitude to the team worked on such capital increase consists of Heidelberg Materials Suez Cement’s executive, legal and finance teams in a very successful collaboration with GLA & Company team in Egypt lead by Hegui A.Taha. In addition to the effective involvement of EFG Holding to implement the relevant transactions before EGX. Many thanks to all my colleagues in Heidelberg Materials that supported us to make this capital increase happened and special thanks to my colleagues in Ciments du Maroc - HeidelbergCement Group , Heidelberg Materials France and Heidelberg Materials Italia for their swift support during the process.

  • In September, the QFC Data Protection Office (DPO) reprimanded and fined a QFC-licensed firm USD 150,000 for multiple breaches of the QFC Data Protection Regulations and Rules, including delayed breach notification, inadequate security measures, and failure to maintain data integrity and confidentiality. While the DPO acknowledged the Firm’s cooperation and proactive improvements, the penalty serves as a clear warning to enforce compliance and strengthen data protection practices.   GLA continues to support clients across Qatar, the QFC, and the MENA region with expert guidance on data protection legislation through its dedicated team and established practice.
