SEC Clawback Rules: Initial Impacts in the 2024 Proxy Season Malus and clawback provisions allow companies to recover and/or withhold sums or share awards in specific circumstances, such as in situations where values were paid inappropriately or based on inaccurate or misleading information. These policies aim to mitigate excessive risk-taking that certain remuneration plans may incentivize. All New York Stock Exchange (NYSE) and Nasdaq Stock Market (Nasdaq) listed companies had until December 1, 2023, to adjust their remuneration policies to comply with new clawback rules mandated by the Securities and Exchange Commission (SEC), the SEC Clawback Rules. This analysis by ISS | Institutional Shareholder Services examines how US companies responded to this requirement, as interpreted by the ISS US-Benchmark Research team. The review analyzes the number of companies that had changes in their clawback policies in 2024 compared to what they had in place in 2023. ISS Governance Announces 2025 Benchmark Policy Updates ISS Governance today announced updates to its 2025 Benchmark proxy voting policies. The updated policies will generally be applied for shareholder meetings taking place on or after Feb. 1, 2025. Each year ISS Governance Research conducts a robust, inclusive, and transparent global policy development process to review and update the ISS Benchmark voting policies for the upcoming year, led by its Global Policy Board. The process incorporates an assessment of emerging issues, relevant regulatory changes, and notable trends seen across global, regional, and individual markets, plus relevant academic research, and empirical studies. Views and input are gathered from a broad range of institutional investors, companies, and other market participants worldwide through a variety of channels and over a number of months, and a public comment period is then provided on proposed policy changes before finalizing the updates for the following year. The FRC’s Annual Review of UK Corporate Governance Reporting and the ‘Comply or Explain’ Principle in Retrospect In November 2024, the UK’s Financial Reporting Council (FRC) published its annual review of corporate governance reporting for 2024 in order to outline its findings before companies begin to implement the updated UK Corporate Governance Code (the Code) from January 2025. In relation to the ‘comply or explain’ principle, the FRC noted that fewer companies had departed from the Code. This was primarily attributed to increased compliance with the alignment of executive director pension contributions with those available to the wider workforce. Separately, in its review of shareholder and stakeholder engagement, including workforce engagement reporting, the FRC focused on whether companies reported effectively on the outcomes of their engagement, as one of the key areas of focus for the updated Code.
