Tuesday’s first edition of Arbitration 2 Worlds, organised by Arbitration Channel and Lex Anglo-Brasil and hosted by WilmerHale in #London, sparked strong audience engagement and stimulating discussions. Raedas Partner Joana Rego joined Andre Luis Monteiro (Quinn Emanuel), Sophie Nappert (3 Verulam Buildings), Guy MacInnes-Manby (Freshfields) and Gabriel Seijo Leal de Figueiredo (Cescon, Barrieu, Flesch & Barreto Advogados) to discuss enforcement and asset recovery strategies involving States and State-Owned-Entities. Joana discussed opportunities and challenges of these exercises, as well as some of the strategies deployed where more than a victory in proceedings, collection determines success. 📍 Assets not located where it is ‘convenient’ to enforce. Start considering options early as many factors can impact enforceability or present strategic advantages to preserve assets. Funded claims will always require an understanding of collectability. ⚖ Domestic courts have unique set of tests which will impact the immunity of assets, enforceability of mixed used assets and alter-ego tests: it is critical to consider where actions can gain greater traction. However, even if a jurisdiction presents a hurdle, actions can create leverage. 🎯 Avoid a scattergun approach and remain flexible. Consider scenarios and have a Plan A, B and C. 💸 A US$ 100 million unencumbered asset in a ‘favorable’ jurisdiction rarely exists. Assets may have non-monetary values which impact and disrupt the debtor’s operations, activities and key relationships. 🔄 Assets are rarely static. Considering ‘technicalities’ such as flows of funds, underlying contractual agreements, liabilities imposed by seizure, existence of evidence to support arguments, among others, are critical to the analysis of such assets. 🧠Tendency to consider asset recovery as a pure legal matter is old-fashioned. Settlements are won by knowing your opponent. Study your counterparties, their decision makers, their agenda and narrative, and critically the optimal timings for action. Also, which third parties can influence decisions or pass on a subtle (or not) message? States are cumbersome, but sensitive to issues such as their creditworthiness and popular support. 📣 Ultimately, States have to justify to taxpayers why these monies are being spent.
