In light of a recent federal court order, reporting companies are not currently required to file beneficial ownership information with FinCEN and are not subject to liability if they fail to do so while the order remains in force. However, reporting companies may continue to voluntarily submit beneficial ownership information reports. A Fifth Circuit appellate court lifted the nationwide preliminary injunction blocking FinCEN from enforcing the Corporate Transparency Act (CTA) and its implementing regulations. The CTA, which took effect January 1, 2024, requires most legal entities to electronically report beneficial ownership information by January 1, 2025 (unless an exemption applies). Shortly after the decision was handed down, FinCEN issued a statement confirming that reporting companies are again required to file beneficial ownership information with FinCEN, with certain extensions to the reporting deadlines (as discussed here):
