Germany is weighing legal reforms that would allow international firms to compete on equal terms for the first time, closing loopholes that have long disadvantaged non-Europeans. The Federal Ministry of Justice presented a 139-page proposal of reforms to Germany's states and legal associations on October 25 and requested comments. The proposals are geared to eliminating red tape and putting European and non-European law firms on an equal footing, but the specifics, cloaked in technical jargon and still at the consultation stage, are difficult to pin down. "We will abolish unnecessary rules and reduce unnecessary bureaucracy," Justice Minister Marco Buschmann said. "We will also create greater comprehensibility and clearer structures. In the end, [legal] professionals will benefit from this—and so will our rule of law." Though most of the reforms are aimed at small legal practitioners, some elements could impact the shareholder structure of BigLaw, particularly U.K. and U.S. firms that are regulated differently from European law firms. The closing of loopholes will simplify registration as an international LLP in Germany, for example, and mean non-European law firms will now be able to establish holding companies. Lawyers moving in-house should find less red tape as well. Buschmann's proposal means lawyers will no longer have to officially certify a copy of their employment contract when moving in-house. In the aftermath of an M&A transaction, a dispute can sometimes arise over the calculation of the portion of the purchase price (the “earn-out”) that is deferred and contingent upon the achievement of certain performance targets. For such cases, most contracts provide for a resolution through an expert determination clause. However, such clauses are not native to the Italian legal system. Therefore, in order to avoid uncertainties, one should consider how the expert’s determination will be interpreted and treated under Italian law. Israeli law firms and their outbound business development: New survey unlocks insights. New insights from the Israeli legal sector. In a recent survey of the outbound business development initiatives of Israeli corporate law firms, the results are incredibly useful for fostering closer relationships: Nearly 90% reported either an increase or stability in international-related work over the last two years. 60% of surveyed Israeli law firms prefer collaborating with international law firms that have an Israel Desk. Preference is shown towards international firms with a physical presence in Israel, with approximately 20 firms meeting this criterion. Impressively, nearly one third of Israeli law firms are engaged with over 20 international counterparts, highlighting the competitive nature of the legal industry and the growing demand for Israeli legal expertise. When it comes to decision-making for referrals, relationships take center stage, with 55% valuing this aspect over factors reciprocity (11%).
