There are significant changes coming to the franchising industry. New regulations and a re-drafted Franchising Code of Conduct are set to begin from 1 April 2025. The Franchising Code of Conduct (the Code) aims to ensure fairness in the franchising sector by addressing potential issues resulting from the power imbalance between franchisors and franchisees. Both franchisors and franchisees must follow the Code, and are required to act in good faith in their business dealings with each other. The Code also covers rules relating to: 👉🏻 the information that franchisees must receive prior to entering an agreement 👉🏻 cooling-off periods for and early termination of franchise agreements; and 👉🏻 dispute resolution processes, including arbitration prior to court proceedings. Franchise law compliance is essential for ensuring that both franchisors and franchisees operate within the legal framework established by local and international laws. Key Components of Compliance ► Franchise Disclosure Documents (FDD): Franchisors are often required to provide an FDD, detailing essential information about the franchise system, fees, obligations, and financial history. ► Registration Requirements: Some jurisdictions mandate registration of the franchise and the FDD with local authorities. ► Contractual Agreements: Franchise agreements must be comprehensive, outlining the rights and obligations of both parties, fees, intellectual property usage, and termination terms. ► Advertising and Marketing Compliance: Promotions must align with legal guidelines and avoid deceptive practices. Non-compliance can result in hefty fines, legal disputes, reputational damage, and even the loss of the franchise license. Ensuring compliance fosters trust, protects intellectual property, and creates a stable foundation for long-term success. At The In-House Company (THINC), we specialize in navigating the complexities of #franchise law. Whether you’re setting up a franchise or managing compliance issues, we provide tailored #legal advice to ensure you stay protected and thrive in your #business journey.
