To what extent should corporations be compelled to define their purpose, not (just) via a pithy purpose statement but as a strategic governance position from which the company and its board are held accountable? Just returned from listening to The Hon. Justice Gordon, of the High Court of Australia, share her perspectives on the new realities impacting 21st century governance, hosted by the Shared Value Project. A rigorous and instructive presentation based on her 2023 Harold Ford Lecture. Here's an extract: "Three ideas keep arising in any debate about corporate governance and directors' duties: what is the purpose of the corporation; what kinds of interests and consequences should directors consider when making decisions; and how far ahead should they look?" When considered from the perspective of a litigant and judge, the lecture is essential reading for any of us working in strategic planning and placing ESG. https://lnkd.in/gExWt3Es #strategy #risk #governance #sharedvalue

"#ESG is under attack from all sides. True believers wish to keep practicing ESG but call it something different; opportunists recognize that an ESG label no longer helps launch funds or attract customers; opponents seek to ban ESG outright. But if ESG is to be scrapped, what do we replace it with? Retiring the term but continuing the practice fails to address the legitimate challenges to ESG; abandoning the practice throws the baby out with the bathwater. This article proposes an alternative: “Rational Sustainability”. Sustainability refers to the goal – the creation of long-term value rather than the ticking of ESG boxes – which is of interest to all job titles and political leanings. Rational refers to the approach: it recognizes diminishing returns and trade-offs; it is based on evidence and analysis; and guards against irrational sustainability bubbles. Rational Sustainability is not a rebranding or a name change, but a fundamental shift in the practice of ESG to the informed creation of long-term value." If you haven't done so, read Alex Edmans incredible paper - "Rational Sustainability" - https://lnkd.in/giDE-zzS A big theme of this year's Legal ESG: London is challenging existing and future thinking around ESG, where it is today, and the changes that must be made to ESG to achieve a more sustainable and just society. Alex Edmans keynote session will do just that.

While this article published by Harvard Law School Center on the Legal Profession is from more than a year ago – it has aged well. It is a very good reminder of everything lawyers and law firms could (and should) be doing when it comes to ESG. “At the end of the day, every single lawyer has to be an ESG lawyer,” says Timothy Wilkins, global partner for client sustainability at Freshfields Bruckhaus Deringer LLP. “If we don’t train our lawyers, regardless of practice groups, to spot ESG issues,” he continues, “we’re letting down our clients.” Are your lawyers ready to advise clients on their ESG challenges – and the corresponding disclosure requirements? And what of your law firm? Are you “walking the talk” or guilty of “do as I say, not as I do”? Start now! #esg #sustainability #lawandlegislation https://lnkd.in/gM8htpdG
