🔶️ Every company is challenged to #reinvent itself due to changing technology, supply chain issues, changing consumer mindsets, climate sustainability, and stakeholder capitalism. Indeed, 5 rapid changes are redefining the role of the Board and Chair in real time.

 

🔴 1. Governance Needs Better Input

Better Input

  • Develop a deep understanding of the company.
  • Continuously scan the future for risks and opportunities.
  • Focus on big-picture: technology, innovation, efficiency, agility.
  • Help the company pivot and respond to unforeseen events.
  • Encourage new thinking and bolder/faster action.
  • Articulate company purpose, culture, and ethics.

 

🔴 2. Society Expects More

Stakeholder Expectations

  • Bring all societal concerns to the boardroom.
  • Create "shadow" council of younger managers to share concerns.
  • Debate the "profitability -v- sustainability" equation.
  • Responsibly hold management accountable, for local/planet impact.
  • Integrate ESG (environment, social, governance) into strategy.
  • Collaborate with all stakeholders to help solve societal problems.

 

🔴 3. Climate Change Demands Response

Climate Change

  • Place climate change high on company agenda.
  • It is essential to maintain a sustainable business; customers demand it.
  • Invite climate specialists to the Board to raise climate fluency.
  • Integrate climate change in overall corporate purpose and strategy.
  • Find business opportunities that relate to climate change strategies.
  • Become frontline climate ambassadors with stakeholders.

 

🔴 4. Crisis is the New Normal

Crisis Resilience

  • Be resilient and speedy in decision-making, action, communication.
  • Encourage scenario planning, especially worst-case scenarios.
  • Respond, adjust to, and embrace digital tech under pressure.
  • Incorporate agile and responsive thinking and action as part of business.
  • Reconfigure the business models and accelerate AI DigiTransform.
  • Use Digital Dashboards to review results and projections.

 

🔴 5. Call for DigiTransform and Agility

DigiTransform and Agility

  • Create an AI DigiTransform Innovation Council.
  • Invite a Futurist to the Board; Create a Future Advisory Council.
  • Create a Cybersecurity Advisory Council.
  • Create an ESG Committee.
  • Create reverse mentoring programs by younger managers.
  • Set the tone at the top for best talent to join the company.

 

🔴 IN SUM …

  • Understand the Business: Its operations, people, competition, and culture.
  • Understand the Long Term: Invite Strategic Futurist to the Board.
  • Lead on Purpose and Values: Make tough decisions for the long-term.
  • Lead to Learn: Be comfortable asking for help; lead a “learning board.”
  • Nurture a Broad Skill Set: Curiosity, tech-savvy, IQ, EQ, draw out others.
  • Embrace Diversity: Drives productive discussion, avoids group think.
