Terminating contracts due to insolvency: beware How do your contracts handle insolvency? If your agreement includes an ‘ipso facto clause’ – a provision that lets you terminate a contract due to the other party's insolvency – you need to be aware of how the rules have evolved. Today, ipso facto clauses can’t be triggered just because a counterparty enters administration or faces financial difficulties. (This gives the struggling business a chance to work its way out of hard times.) But to protect your business, it's crucial to review these clauses regularly to ensure they’re not overreaching. If you’ve recently discovered a default judgment against you, it’s not too late to act. You may have options to have that judgment set aside and defend your case. A default judgment is typically entered when a defendant doesn’t respond to a Statement of Claim within the required 28 days. In many cases, this happens when the defendant wasn’t properly served with the claim, or simply missed the deadline. But it IS possible to take steps to overturn it. Here’s what to do: 1. Get copies of the judgment and check if there’s a valid defence for your case. 2. Contact the other party or their lawyer and see if they will consent to setting the judgment aside. 3. If they refuse, you can apply to the Court to set the judgment aside, providing an explanation for the delay in your response, along with supporting evidence and a draft defence. Courts typically prefer to have cases heard on their merits, so applications to set aside default judgments are often granted – especially if there’s a valid defence to the claim. It’s essential to act quickly if you find yourself in this situation to avoid enforcement actions like asset seizures or bankruptcy proceedings. 📲 Need help? In every online transaction, there’s a contract. Whether you’re purchasing products, subscribing to software or booking a holiday, we’re entering contracts every day. But do you read the fine print for everything? The terms and conditions attached to each transaction are boring, but important to understand. In the case Gonzalez v Agoda, Ms Gonzalez booked a hotel room through Agoda’s website, and ended up in a legal dispute over where her case could be heard. The Personal Property Securities Register (PPSR) is a great protective tool for anyone purchasing a car, watercraft or other expensive personal property item. Before the PPSR existed, if you bought something like a car or boat that still had money owed on it, you could end up paying the seller, only to discover the item was still secured by a loan. Now, the PPSR protects purchasers. If the seller’s debt isn’t registered on the PPSR, your purchase will generally take priority. This means your claim will be above that of the bank or other financiers – even if they had a claim on the item first. But it’s not always that simple.
