ECR Minerals Plc (AIM: ECR) has raised £950,000 before expenses through a subscription of 287,878,787 new shares at 0.33p, representing a discount of approximately 20.5% Chairman Nick Tulloch: "Through the Subscription we will be funded for our planned 2025 programme, meaning that whilst we seek to conclude what could be a valuable sale of our tax losses, held in our subsidiary MGA, we can commence detailed preparations for the coming year. A particular highlight is our intention to prepare Blue Mountain to be capable of going into production and our assessment of the commercialisation of that project is already well underway. We are also optimistic about our opportunities at Lolworth where our partnership with the GSQ adds further validity to the potential breadth of that project. Rio Tinto to buy more stake in Boyne aluminium smelter Rio Tinto is set to increase its stake in Boyne Smelters (BSL), the owner and operator of the Boyne Island aluminium smelter in Gladstone, Australia, to 73.5%. This move follows agreements to acquire Mitsubishi’s 11.65% interest and Sumitomo Chemical Company’s 2.46% interest in BSL. The acquisition, subject to approval from Australia’s Foreign Investment Review Board, is expected to be finalized in the second half of 2024. Upon completion, the BSL joint venture will consist of: Prior to these transactions, Rio Tinto held a 59.4% ownership in Australia’s second-largest aluminium smelter. BSL has seen tremendous growth since its inception in 1982, with capacity soaring from 210,000 t/y to over 500,000 t/y of aluminium thanks to a series of multimillion-dollar investments. Rio Tinto is committed to a competitive low-carbon future for its Gladstone operations. The company recently signed a power purchase agreement with European Energy Australia to support the development of Australia’s largest solar power project near Gladstone. Europa Metals Ltd (AIM:EUZ, JSE:EUZ) is to acquire the Tynagh brownfield project in County Galway, Ireland. Through a reverse takeover, the company is acquiring what’s described as an advanced recycling and rehabilitation project. Tynagh focus is on the recycling and rehabilitation of an area, a mine site that operated in the 1970s and 80s, that currently has a surface mineral resource of 6.65 million tonnes – comprising lead, zinc, copper and silver. Suvo Strategic Minerals (ASX: SUV) has strengthened its capacity to develop and commercialise the Intellectual Property (IP) for #LowCarbonCement (green cement) on fielding firm commitments for $2 million in an oversubscribed placement at $0.048 per share. The placement attracted the support of a number of existing investors and, significantly, shareholders of PERMAcast, Western Australia’s leading supplier of precast and prestressed concrete products, will take up 15%. #ASXNews Latin Resources Limited provides the following update in relation to the proposal for by Pilbara Minerals Limited (ASX: PLS) to acquire 100% of the fully paid ordinary shares in Latin Resources by way of a scheme of arrangement (Share Scheme) and 100% of the options in Latin Resources by way of an option scheme of arrangement (Option Scheme). COURT ORDERS The Supreme Court of Western Australia has today made orders: • that Latin Resources convene and hold: - a meeting of Latin Resources shareholder to consider and vote on the Share Scheme (Share Scheme Meeting); and - a meeting of Latin Resources optionholders to consider and vote on the Option Scheme (Option Scheme Meeting), (together, the Scheme Meetings); and • approving the distribution to Latin Resources securityholders of an explanatory statement providing information about the Share Scheme and Option Scheme and the notices of meeting for the Scheme Meetings (Scheme Booklet). DEMERGER In conjunction with the Schemes, Latin Resources is also proposing to undertake a demerger of its non-core Australian, Peruvian and Argentinian mineral exploration assets and projects by way of a transfer of those assets such that they are held (directly or indirectly) by ESG Minerals Limited and a capital reduction and in specie distribution of fully paid ordinary share in ESG Minerals Limited (Demerger). Latin Resources will also convene a general meeting of Latin Resources shareholders to consider a proposed resolution approving the capital reduction and in-specie distribution (Demerger Meeting).
