    Barloworld’s Sustainable Evolution Executive Development (SEED) Programme Celebrates its First Graduates Yesterday morning was a landmark moment for some of our Barloworld leaders as they became the first graduates of the innovative SEED Programme. The initiative was run in partnership with the GIBS Business School (Gordon Institute of Business Science) and formed part of the larger Barloworld Leadership Journey Programme which was launched in 2021, with the intention of creating a leadership community across the business that models the One Barloworld Way of Leading. On this leadership journey Barloworld is defining new models of leadership styles required to lead in times of crisis and an ever-changing, digital, borderless and interconnected world. The SEED Programme is a significant leg of this leadership journey, which is informed by Barloworld’s leadership philosophy and Leadership Charter. The SEED programme was created to equip Barloworld leaders with the relevant knowledge and tools needed to negotiate the challenges of an ever-changing world, particularly in the context of sustainable development. The first cohort of graduates received their certificates at a graduation event held this morning. Their certification means they have evolved their leadership capabilities in such a way that they are aligned with Barloworld’s commitment to sustainable development.   Barloworld is committed to making a world of difference and this is underpinned by our goal to be a responsible corporate, delivering products, services and solutions that generate sustainable outcomes. We see ourselves as drivers of sustainable economic development. ‘Sustainable’ to us means ensuring the prosperity and safeguarding the welfare of the broader communities in which we operate and for society as a whole. Through the SEED Programme, each of the graduates have had the opportunity not only to develop their own leadership potential and make a positive impact within their immediate team, but also in the broader communities in which we operate. Congratulations to the leaders from across the Barloworld group (Barloworld Equipment, Ingrain, Barloworld Mongolia, VT and SMD) whose dedication and commitment saw them successfully complete the challenging SEED Programme!

    Attention All Barloworld employees and ex-employees that are Khula Sizwe Trust Beneficiaries,   Khula Sizwe is an empowerment initiative that was implemented by the Barloworld shareholders in 2019 upon which Khula Sizwe would own commercial properties and Barloworld a tenant. An employee share trust was then designed to enable transformation and share ownership of Khula Sizwe among our employees. Khula Sizwe was then born, and a separate management and Board were put in place to run Khula Sizwe.   Following completion of the initial five-year holding period of the Barloworld employee share trust (Khula Sizwe), we wish to provide clarity on the current state of your Khula Sizwe investment.   After careful market analysis, the Khula Sizwe Board has determined that current market conditions are not favourable for listing. To protect shareholder value, the Board is exploring alternative trading mechanisms for shareholders. These arrangements are expected to be announced by June 2025.   We acknowledge there may have been misconceptions about immediate cash payouts. To be clear: shareholders will receive shares, not cash, and the 2019 projected values were estimates of potential future value of the shares after the empowerment period. The share price is subject to market conditions, which have been significantly impacted by various factors, including COVID-19 and interest rate changes.   Only Barloworld Employees and former employees are beneficiaries of the Khula Sizwe Employee Trust and The Khula Sizwe Management Trust. These beneficiaries voted for Trustees in September. Names of the successful candidates have been communicated to the beneficiaries. These names are in the process of being submitted to the Masters office for appointment and once finalised this will be communicated to all beneficiaries.   Barloworld remains committed in assisting its employees and former employees with all concerns regarding transfer of their shares. The elected Trustees of the Khula Sizwe Trusts will ensure that Khula Sizwe delivers a sustainable trading mechanisms and that value is maximised for all shareholders. Regular updates will be provided through official Khula Sizwe channels.   Be on the lookout for further communication in the coming weeks.     Attention Khula Sizwe Beneficiaries! The Khula Sizwe Employee and Management Trusts which hold 32% and 38% respectively in Khula Sizwe shares for eligible employees; hold shares on behalf of Barloworld employees who were employed by Barloworld as at 30 September 2019 (“the Eligible Employees”). Share distribution, initially set for October 2024, has been postponed due to unfavourable market conditions. The Board is exploring alternative trading solutions to ensure maximum shareholder value. A further update in this regard will be provided as soon as progress has been made in the Khula Sizwe board’s deliberations.
