In 2024, Smythe LLP observed a cautious rebound in mergers and acquisitions (M&A) activity, advising on 18 transactions ranging from $2 million to $300 million across various industries. Key trends included strong demand for companies with resilient, recurring revenue models, leading to premium valuations. Conversely, businesses in cyclical sectors faced extended closing timelines and increased use of earn-outs or vendor take-back financing to bridge valuation gaps. Looking ahead to 2025, we anticipate continued selectivity among buyers, with high-quality businesses commanding strong multiples, while others may need to adjust expectations or employ creative deal structures to complete transactions.
