The Swiss Financial Market Supervisory Authority FINMA issued the new FINMA Circular 2025/2 "Rules of Conduct under FinSA/FinSO", which will enter into force on 1 January 2025.   The Circular provides guidance on the implementation of selected aspects of the rules of conduct and organisational requirements applicable to financial services providers under the Financial Services Act and the Financial Services Ordinance (FinSA/FinSO). Bär & Karrer advises Gonet & Cie SA and the Arab Bank Switzerland Group on the acquisition of a majority stake in ONE swiss bank. Gonet & Cie SA and ONE swiss bank SA have announced the signing of an agreement for the acquisition of a majority stake in One and the subsequent merger of the two banks under the brand "Gonet" in the second quarter of 2025, subject to regulatory approvals. The merger will create a leading player in wealth and asset management in the Swiss financial market. It will also expand the banks' offering of products and services and accelerate the development of their business in Switzerland and internationally, allowing the group under the majority ownership of Arab Bank (Switzerland) Ltd. to have assets under management approaching CHF 20 billion.   The Bär & Karrer team is led by Martin Anderson and included Amir Teymour Bakhtiar (both M&A and Banking), Milena Ferro-Luzzi, Fanny Cattaneo and Thao Dang (all M&A) and Christoph Suter and Alice Johnson (both Tax). Seit dem 1. Januar 2024 regelt das Bundesgesetz über die berufliche Alters-, Hinterlassenen- und Invalidenvorsorge vom 15. Juni 1982 (BVG) in Art. 13a und 13b ausdrücklich die Bedingungen für einen Teilbezug der Altersleistungen (sog. "Teilpensionierung") als Folge der ab selbigem Datum in Kraft getretenen "AHV21"-Reform. Als Folge dieser Gesetzesänderung hat das kantonale Steueramt Zürich eine neue ab 1. Januar 2024 gültige Praxis zur steuerlichen Behandlung der Teilpensionierung veröffentlicht.
