The aim of USEO is to grow the EO sector by buying and converting businesses to employee ownership. We’re all for efforts to grow the EO market via new ideas and capital and look forward to working collaboratively with the USEO in the future!
We can all see things aren’t working. Our collective desire for a beautiful future is being pulled off course by the short-sighted pursuit of profit. Enormous wealth and power is being concentrated in the hands of a tiny minority, at the expense of the majority and our planet. We need something different and decisive. And we need it now. Imagine a world where wealth and control is shared with the majority who actually do the work. Where the 27 million employees who make up the backbone of the UK economy have a voice and share in the value they create. These employees would be owners – not just workers – able to consider people and the planet alongside profit. In short, they would become ‘Stewards’: taking care of their companies, communities and the environment while enjoying richer, fuller and more equitable careers. Society would look and feel very different. Better. Fairer. The Union of Steward Employee Owners (USEO) combines philanthropy and Employee Ownership (EO) into a membership organisation that does just one thing: acquires UK businesses and gives them to their employees, at no cost. This improves the lives of employees, maximises the positive impact of business and improves our prospects as a species. It’s a simple and scalable model that once started is very difficult to stop. USEO is initially funded by those who believe in the possibility of a fairer future; either companies, who pledge to donate at least 1% of their turnover, or individual ‘Supporters’, who donate either a monthly subscription or one-off. USEO uses 100% of this money (more on how that’s possible later) to acquire UK businesses and convert them into majority employee ownership, becoming what we call ‘Peer’ businesses. USEO does this through the use of a legal construct called an Employee Ownership Trust, or EOT. During the acquisition USEO gifts 51% of the Peer company to the employees via the EOT. This makes them all equal owners overnight, without needing to find any money to invest. The USEO itself keeps 49% of the Peer initially. Any profits made are shared, with 51% going to the employee owners - who enjoy up to £3,600/year tax free currently - and 49% going back to USEO, so it can fund further Peer acquisitions, creating a self-reinforcing flywheel. During the acquisition USEO makes changes to improve the Peer business. These include appointing a ‘Guardian’ Director and implementing articles and policies tailored to the business and industry to make it more beneficial and/or less harmful. Krystal has taken the Pledge, committing to up to 5% of turnover for the next 10 years, which we will dedicate entirely towards USEO’s running costs. This means 100% of your contributions go towards acquiring Peers and upraising employees into employee owners. Have you seen the Financial Times article asking if the EOT is right for small businesses? 👀 As writer Jamie John points out, eoa data shows that over 90% of the UK’s 2,000+ EO businesses are EOTs. Now, with upcoming changes to inheritance tax, there’s a rise in business owners looking to sell their businesses. As the fastest growing option for business sales, EOTs are the ideal exit strategy.
