Position Overview
We are seeking an experienced Commercial Legal Counsel with a strong background in corporate and commercial law, particularly in licensing, IPOs, debt financing, Power Purchase Agreements (PPAs), and other financial transactions. The ideal candidate will play a crucial role in managing and advising on legal matters related to the company's financial strategies, ensuring compliance, and supporting corporate growth.
Key Responsibilities
Provide legal advice on debt financing transactions, including bond issuances, loan agreements, and negotiations with lenders.
Oversee the structuring and negotiation of Power Purchase Agreements (PPAs) and ensure compliance with industry standards and regulations.
Support the company’s IPO preparation by advising on securities law, compliance, and risk management.
Draft, review, and negotiate a wide range of commercial contracts, including licensing agreements, joint ventures, and service agreements.
Collaborate with internal teams, including finance and business development, to support corporate growth and financial transactions.
Ensure compliance with relevant laws and regulations at the local, state, and federal levels.
Monitor legal risks and industry trends in finance and commercial law, providing strategic advice to senior management.
Qualifications
JD or equivalent legal qualification with a license to practice law in [Insert Jurisdiction].
5+ years of experience in corporate and commercial law, with a focus on finance, licensing, IPOs, and PPAs.
Expertise in debt financing and familiarity with public companies and securities law.
Strong understanding of Power Purchase Agreements and their application in the energy sector.
